These Terms and Conditions (“Terms”) govern your purchase of products and use of the services provided by The Label Store (“we”, “us”, “our”, “TLS” or the “Company”), including purchases made at our physical stores, website, mobile application, delivery platforms, loyalty programme and other sales channels (collectively, our “Services”).

Please read these Terms carefully before placing an order or using our Services. For website and application transactions, you will be asked to confirm your acceptance of these Terms by actively ticking an acknowledgement checkbox at account registration and at the point of checkout. For in-store transactions, key terms are displayed prominently at our stores. These Terms are incorporated into and should be read alongside our Privacy Policy, which is available at www.thelabelstores.com/privacy. If you do not agree with these Terms, please do not use our Services.

These Terms are governed by and intended to be compliant with the Federal Competition and Consumer Protection Act 2018 (FCCPA), the Nigeria Data Protection Act 2023 (NDPA), the Sale of Goods Act and all other applicable Nigerian laws and regulations.

  1. ELIGIBILITY

To use our Services, you must be at least 18 years of age. Persons under 18 may use our Services only under the direct supervision of a parent or legal guardian who accepts these Terms on their behalf. By placing an order or creating an account, you confirm that you meet this age requirement.

You must provide accurate, current and complete information when placing an order, creating an account or participating in any of our programmes. We reserve the right to suspend or terminate your access where inaccurate or misleading information is provided.

Where a product is subject to age restrictions or other legal requirements under Nigerian law, you may be required to provide appropriate evidence of eligibility before the purchase can be completed.

  1. USE OF OUR WEBSITE AND APPLICATION

We grant you a personal, non-transferable, revocable permission to access and use our website and application for the purpose of browsing our products and services and placing orders for your own personal use. Commercial use or use on behalf of any third party is prohibited, except as explicitly authorised by us in writing.

In using our website and application, you agree not to:

(a)  use our platforms for any unlawful purpose;

(b)  interfere with the operation or security of our platforms;

(c)  attempt to gain unauthorised access to any part of our platforms or systems;

(d)  introduce malicious software, viruses or harmful code;

(e)  scrape, reproduce, copy, sell or commercially exploit our content or platform without our prior written authorisation;

(f)  impersonate any person or entity; or

(g)  use our platforms in any manner that may damage our systems, reputation or business.

  1. CUSTOMER ACCOUNTS

Where you create an account on our platform:

(a)  you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account;

(b)  you must promptly notify us at support@thelabelstores.com of any suspected unauthorised access to your account; and

(c)  we may suspend or terminate an account where necessary to prevent fraud, misuse, security risks or material breaches of these Terms.

We will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

  1. PRODUCTS

We endeavour to ensure that product descriptions, photographs, specifications and pricing displayed on our platforms are accurate. However, product packaging, colours, quantities, specifications and other characteristics may vary from the information displayed. Where a material discrepancy exists, you are entitled to return the product in accordance with Section 8 of these Terms.

Product availability is subject to stock levels. We reserve the right to limit quantities purchased where reasonably necessary, including where we suspect bulk purchasing for resale, fraud or abuse of promotions.

  1. PRICES

All prices are displayed in Nigerian Naira (NGN) unless otherwise stated. We reserve the right to amend prices at any time. Price changes will not affect an order that has already been accepted and confirmed by us, except where an obvious pricing error has occurred.

Where an obvious pricing error occurs (including where a product is listed at a price that is materially inconsistent with its actual value), we reserve the right to cancel the affected order and refund any payment made in full, without further liability.

TLS accepts various payment methods including cash, debit and credit cards, mobile wallets and foreign cards. All transactions must be completed before any items are removed from the store premises.

  1. ORDERS

Placing an order constitutes an offer to purchase the selected products. An order shall not be deemed accepted until we have confirmed receipt of payment. We may decline or cancel an order where:

(a)  the product is unavailable or out of stock;

(b)  there is a pricing or product description error;

(c)  payment cannot be processed or is reversed;

(d)  we reasonably suspect fraud or unauthorised activity;

(e)  delivery cannot reasonably be completed to your specified address; or

(f)  cancellation is otherwise permitted under applicable law.

Where an order is cancelled by us, we will refund any payment made in full within a reasonable period.

  1. PAYMENT

Payment shall be made using the payment methods made available by TLS at the relevant time. Payments processed through third-party payment providers (such as card processors or mobile wallet operators) may be subject to those providers’ own terms and conditions. We shall not be responsible for delays or failures caused by third-party payment systems beyond our reasonable control.

We do not store complete payment card information. Where payment data is processed by a third-party provider, it is governed by that provider’s security and data protection practices.

  1. DELIVERY

Where delivery services are available, delivery shall be made to the address provided by the customer. Delivery times provided are estimates and are not guaranteed unless expressly stated otherwise.

Delivery may be delayed by circumstances outside our reasonable control, including traffic, weather, security incidents, operational disruptions or third-party logistics failures. We will make reasonable efforts to notify you of material delays.

You are responsible for ensuring that the delivery address and contact information you provide are accurate and complete. Where an incorrect or incomplete address results in a failed delivery, additional delivery charges may apply or the order may be cancelled.

Where a confirmed delivery has not been completed within a reasonable period and we are unable to remedy the failure, you may cancel the order and receive a full refund of the purchase price and any delivery fees paid. Please contact us at support@thelabelstores.com to request this.

Please inspect your items promptly upon delivery or collection. Any issue with the delivered items should be reported immediately to the delivery personnel or to TLS customer service.

  1. RETURNS, REFUNDS AND EXCHANGES

Your statutory rights under the Federal Competition and Consumer Protection Act 2018 (FCCPA) are not affected by any provision of this section. Nothing in these Terms shall restrict or exclude any right to return goods or receive a refund that is conferred by applicable Nigerian law.

Defective, Misdescribed or Substandard Goods

Where a product is defective, not of acceptable quality, not fit for the purpose disclosed to us, or materially different from its description at the time of purchase, you are entitled to a remedy under the FCCPA 2018. Please contact us at support@thelabelstores.com or visit any of our stores with your original receipt as soon as you discover the defect. We will assess your claim and offer a repair, replacement or refund as appropriate in accordance with the FCCPA 2018.

Change-of-Mind Returns

For change-of-mind returns (where the product is not defective), we accept returns of unopened, non-perishable goods within 48 hours of purchase, subject to presentation of the original receipt. The product must be in its original, undamaged condition.

Perishable Goods

All sales of perishable goods are final and non-refundable unless the goods are defective or not of acceptable quality at the point of purchase or delivery, in which case your FCCPA 2018 rights apply.

Refund Method

Refunds will ordinarily be made through the original payment method. Where the original payment method is no longer available or is not practicable, we will agree an alternative refund method with you in writing.

  1. INSPECTION OF PRODUCTS

Customers should inspect products upon delivery or collection and notify us promptly of any apparent damage, shortage, defect or incorrect item. Prompt notification assists us in resolving issues efficiently, but does not affect your statutory rights where a defect is discovered later.

  1. PROMOTIONS AND DISCOUNTS

Promotions, discounts, loyalty rewards and special offers may be subject to additional terms communicated at the time of the promotion. Unless otherwise stated, promotions cannot be combined with other offers.

We reserve the right to withdraw or amend a promotion where reasonably necessary, including where a promotion has been triggered by error or is being abused, subject to applicable law and without prejudice to orders already validly placed and confirmed under that promotion.

We may cancel transactions where there is evidence of fraud, abuse or manipulation of a promotional offer.

  1. LOYALTY PROGRAMME

Where TLS operates a loyalty programme:

(a)  membership may be subject to registration and identity verification;

(b)  points and rewards earned are valid for [INSERT VALIDITY PERIOD — e.g., 12 months of inactivity] and may expire thereafter if no qualifying transaction is made within that period;

(c)  points are not redeemable for cash and are not transferable unless expressly permitted by us in writing;

(d)  the Company reserves the right to modify, suspend or terminate any loyalty programme on reasonable written notice to members, except where suspension or termination is necessitated by fraud, abuse or material breach of the programme terms, in which case immediate action may be taken; and

(e)  personal data collected through the programme will be processed in accordance with our Privacy Policy.

  1. MARKETING COMMUNICATIONS

We will only send you promotional emails, SMS messages or other marketing communications where you have actively opted in to receive them, in accordance with the NDPA 2023 and our Privacy Policy. We will never rely on implied consent or automatic enrolment for marketing communications.

You may withdraw your consent or opt out of marketing communications at any time by following the unsubscribe link in any marketing communication or by contacting us at support@thelabelstores.com. Withdrawal of consent will not affect the lawfulness of communications sent before withdrawal.

  1. PRIVACY AND DATA PROTECTION

Personal data collected through your use of our Services will be processed in accordance with our Privacy Policy, the NDPA 2023, the GAID 2025 and all other applicable data protection laws in Nigeria. Please read our Privacy Policy carefully. It is available at www.thelabelstores.com/privacy.

Our store premises and car park are under CCTV surveillance at all times. CCTV is operated for the purposes of customer and employee safety, crime prevention and detection, and the protection of Company property. CCTV notices are displayed at all our premises.

  1. PREMISES SAFETY AND CONDUCT

TLS takes reasonable precautions to maintain a safe environment for all customers, employees and visitors at our premises. All customers and visitors are expected to comply with our store guidelines, including no smoking, no bringing of pets, and appropriate conduct at all times while on the premises.

Parents and guardians are responsible for the supervision and conduct of children in their care while on our premises.

As occupier of our premises, TLS owes a duty of care to lawful visitors and takes reasonable steps to discharge that duty. Nothing in these Terms shall exclude or limit TLS’s liability for personal injury or death caused by TLS’s negligence, which cannot lawfully be excluded under Nigerian law. TLS shall not be liable for personal injuries or loss of property that occur on the premises as a result of the visitor’s own conduct or negligence, or the conduct of third parties beyond TLS’s reasonable control.

Customers are advised to take reasonable care of their personal belongings while on our premises. Whilst we take reasonable security measures, TLS shall not be liable for loss or theft of personal items on or around the premises where such loss or theft does not result from TLS’s negligence. Appropriate notices to this effect are displayed in our stores.

  1. INTELLECTUAL PROPERTY

All trademarks, logos, photographs, graphics, text, software, designs and other content appearing on our platforms are owned by or licensed to TLS and are protected by applicable Nigerian and international intellectual property laws.

You may not reproduce, modify, distribute, sell or commercially exploit our intellectual property without our prior written consent. Personal, non-commercial use of our website content for the purpose of placing orders is permitted.

  1. CUSTOMER CONTENT

Where you voluntarily submit reviews, feedback, photographs or other content to us, you grant TLS a non-exclusive, royalty-free, perpetual, sub-licensable licence to use, reproduce, adapt, publish and distribute such content for legitimate business, marketing and operational purposes, subject to applicable law and our Privacy Policy.

You represent and warrant that: (a) you own or have the necessary rights to any content you submit; (b) the content does not infringe any third-party intellectual property, privacy or other rights; and (c) the content is accurate and not misleading. To the extent permitted by law, you waive any moral rights in content submitted to us for the purposes of this licence.

  1. THIRD-PARTY SERVICES

Our platforms may integrate with third-party services, including payment processors, delivery providers, analytics providers and other service providers. We select service providers with care, but we are not responsible for matters arising solely from the independent acts or omissions of third parties, subject to applicable law.

Our platforms may also contain links to third-party websites. We are not responsible for the content or privacy practices of those sites. We encourage you to review the terms and privacy policies of any third-party site you visit.

  1. LIMITATION OF LIABILITY

Nothing in these Terms shall exclude or limit TLS’s liability for: (a) death or personal injury caused by TLS’s negligence; (b) fraud or fraudulent misrepresentation; (c) any breach of the implied terms under the Sale of Goods Act; (d) any liability arising under the FCCPA 2018 that cannot lawfully be excluded; or (e) any other liability that cannot be excluded or limited under applicable Nigerian law.

Subject to the above, and to the fullest extent permitted by applicable law, TLS’s total aggregate liability to you in connection with these Terms or your use of our Services shall not exceed the total amount paid by you for the specific product or service giving rise to the claim.

Subject to the above, TLS shall not be liable for any indirect, incidental, consequential, special or punitive losses arising from the use of our Services, including loss of profit, loss of data or loss of opportunity.

TLS shall not be liable for adverse reactions arising from product misuse, failure to read product labelling or instructions, or the presence of ingredients or allergens in products not manufactured by TLS where such information was available on the product packaging. Customers with known allergies or dietary requirements are strongly advised to read all product labels carefully before purchase or consumption.

  1. INDEMNITY

To the extent permitted by applicable law, you agree to indemnify and hold harmless TLS, its officers, employees and agents from and against any losses, claims, liabilities, damages and reasonable legal costs arising directly from: (a) your unlawful use of our Services; (b) your fraud or wilful misconduct; or (c) your material breach of these Terms.

  1. SUSPENSION OR TERMINATION OF ACCESS

We may suspend or terminate your access to our online platforms or Services where reasonably necessary due to:

(a)  fraud or suspected fraudulent activity;

(b)  misuse of our Services or platforms;

(c)  security concerns or a data incident;

(d)  material breach of these Terms; or

(e)  any other circumstances permitted by applicable law.

Where practicable, we will notify you of a suspension or termination and the reason for it. Suspension or termination does not affect any accrued rights or obligations of either party.

  1. AMENDMENTS

We may amend these Terms from time to time to reflect changes in our business, services, technology or applicable law. Updated Terms will be published on our website with a revised effective date.

Where changes are material, we will notify registered customers by email or through a prominent notice on our website before the changes take effect. Your continued use of our Services after the effective date of any updated Terms constitutes your acceptance of those Terms.

  1. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The courts of Lagos State shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, subject to the dispute resolution procedure in Section 24.

  1. DISPUTE RESOLUTION

Any complaint or dispute should first be brought to TLS’s customer service team at support@thelabelstores.com or by calling 090 8443 4343 or 090 3846 5215. The Parties shall use their best efforts to resolve the dispute amicably through good-faith negotiation within 14 (fourteen) days of notification.

If the dispute is not resolved by negotiation within 14 days, either Party may refer it to mediation at the Lagos Multi-Door Courthouse (LMDC), conducted in accordance with the LMDC’s mediation rules then in force. If mediation does not resolve the dispute within 30 (thirty) days of referral, either Party may commence proceedings before the courts of Lagos State.

Nothing in this Section prevents either Party from seeking urgent interim or injunctive relief from a court of competent jurisdiction in Lagos State where necessary to protect its rights or preserve the status quo pending resolution of a dispute.
